The Indianapolis Local Public Improvement Bond Bank, on behalf of the Indianapolis Airport Authority (“the Bond Bank” and/or the “Airport”) is seeking proposals and bids from financial institutions interested in one or more of the following:
- One or more lines of credit or draw down facilities in an amount of up to $185 million to be secured by a subordinate lien on Net Revenues of the Airport; and
- The direct purchase of either parity senior lien, or subordinate lien, fixed rate bonds to refund all or a portion of the Airport’s outstanding 2016A-1 Bonds for savings.

The Airport Master Bond Ordinance is attached. Specific provisions related to Subordinate Securities as contemplated by this RFP will be incorporated in a Supplemental Ordinance authorizing the issuance of such Subordinate Securities. Key credit provisions related to the Subordinate Securities are expected to include a rate covenant and additional bonds test requiring 110% coverage of Revenue Bond and Subordinate Securities debt service by Net Revenues plus Moneys in the Coverage Fund. The Airport intends to fund interest on the Subordinate Securities with the proceeds of the Subordinate Securities; and does not expect there will be any debt service on the Subordinate Securities during the term of the interim financing. Additional Senior Lien obligations will be permitted in accordance with the Airport’s Master Bond Ordinance. There will not be a required Subordinate Securities Reserve Fund for this financing.

Submission Requirements
Each proposal should include the following information:
- Provide a brief description of your institution (including credit ratings).
- Identify the primary (and day to day, if different) contact person for your institution.
- Provide the legal counsel name and primary contact for Responder will be using.
- Provide a line itemized summary of all fees and expenses for which you would expect reimbursement as part of executing the product(s) you are proposing. (e.g., Draw, Amendment, Origination, legal counsel, etc.).
- List and describe penalties, fees and expenses (post execution of the direct purchase), if any, for items such as early redemption, ratings downgrades, changes in tax law or termination.
- Please indicate whether credit ratings and/or an offering document will be required as a part of implementing the product(s) you are proposing;
- Describe the process for implementation and list all legal documentation which will be required to implement the product(s) you are proposing;
- If credit approval has not yet been obtained for the product(s) proposed, how long will it take to receive approval and to issue a commitment?
- Is there a committee structure for credit approval?
- Would the Bond Bank/Airport’s application be sent to a non-U.S. headquarters for final credit approval?
- Frasca & Associates, LLC represents the Airport, has a fiduciary responsibility to the Airport, and is acting solely on the Airport’s behalf with respect to any transaction resulting from this RFP. Sycamore Adivsors, LLC represents the Bond Bank, has a fiduciary responsibility to the Bond Bank, and is acting solely on the Bond Bank’s behalf with respect to any transaction resulting from this RFP. Proposals should acknowledge this disclosure and represent that the Responder is capable of independently evaluating the investment risks associated with any transaction it proposes.
- Proposals and bids should be firm through November 1, 2026. If the pricing indicated is not firm, please describe the factors that could affect a change in pricing between the date of submission and November 1, 2026.
- Please attach a term sheet outlining the key terms, covenants and other provisions of your proposal.
- Proposals should be signed by an authorized representative of your institution.
Whenever it appears to be in the best interest of the Bond Bank and Airport, the Bond Bank and Airport retain the right to request clarification of any information submitted in any proposal, to waive any irregularities in any proposal or to accept or reject any proposal in whole or in part.
